Alabama Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Alabama, you're considered a "foreign" entity in Alabama — and you'll need to register here through a process called foreign qualification. Naming an Alabama registered agent is one of the required pieces.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Alabama is a "foreign LLC" from Alabama's perspective. The same applies to corporations and other entity types.

Alabama's rule is unusually broad. Section 10A-1-7.01 says transacting business covers conducting a business and essentially any other activity, profit-seeking or nonprofit, and unlike most states Alabama's code offers no list of activities that are exempt. If your LLC is active in Alabama in any real way, plan on registering.

What an Alabama Registered Agent Does for a Foreign Entity

Your Alabama registered agent is the legal point of contact for your foreign entity in Alabama. The agent:

• Receives service of process if your business is sued in Alabama
• Is an Alabama resident, or an entity formed or registered here

Waiting can cost you. If your LLC has done business here for more than 90 days before registering, the Secretary of State may charge a $150 late filing fee for each year of delinquency. An unregistered LLC also can't maintain a lawsuit in an Alabama court, but agreements it already made are still binding, and answering a suit filed against it remains open.

How to Foreign-Qualify in Alabama

The general process for registering an out-of-state entity in Alabama:

1. Reserve your name first. Alabama requires a name reservation certificate before you register, reserved exactly as your name appears in your home state: $25 by mail or $28 online. There's no good standing certificate to obtain.

2. Designate an Alabama registered agent. You can use a commercial registered agent service or appoint an individual who lives in Alabama.

3. File the Application for Registration ($150). Attach the name reservation certificate and file with the Business Entities Division: $150 by mail (two typed copies), or $156 through the state's online portal. If your name isn't available, the form lets you register under a fictitious name adopted by resolution.

4. Watch the business privilege tax. The Secretary of State takes annual reports only from corporations, so your LLC has none to file there. The Department of Revenue's business privilege tax applies instead, though no return is required when the tax works out to $100 or less.
